Your mission

• Organization and holding of Annual General Meetings of shareholders (AGM): drafting of convening notices and agenda; convening of the AGM; organizing publications in newspapers, drafting of Minutes and attendance lists; follow-up on decisions taken at the AGM such as dividend payments, regulatory filing with the RCS and CSSF; coordinating the payment of directors fees and related tax payments
• Organization and assistance to Board Meetings: drafting agenda, convening Board Members,
collecting board papers and preparation of board packs; participation to the Board Meeting as dedicated Corporate Secretary to the BOD; the Corporate Services Officer is the initiator and forwards information for coordination on our client side for the follow-up and business actions on the decisions taken by the Board of Directors
• Drafting of board resolutions related to interim dividend payments and replacements of Board Members and Conducting persons; follow-up on decisions taken by written resolution of the boards
• Maintain day to day relationship and guarantee a sound client service role between our client and legal authorities in respect to the corporate services provided by the team
• Filing all corporate documentation of the domiciled entities,
• Mailing reception and dispatching as appropriate
• Participates, with the other members of his team in charge of same Fund, to the substance of central administration and corporate office of the Fund

 

Your profile

• Degree in law or equivalent, fluent in English and another language, German or French (spoken & written)
• Minimum 1-2 years experience in the Luxembourg funds area
• Good knowledge of the law on commercial companies
• Awareness of the Funds industry
• Master of Outlook, Internet, Word and Excel tools
• Team spirit
• Excellent personal organization and planning skills
• Client focused
